Fusion-io, Inc. sells its products directly, as well as through original equipment manufacturers and other channel partners. The company was formerly known as Fusion Multisystems, Inc. and changed its name to Fusion-io, Inc. in June 2010. Fusion-io, Inc. was founded in 2005 and is headquartered in Salt Lake City, Utah.

U.S. District Court for the Northern District of California Appoints a Lead Plaintiff in a Securities Fraud Class Action Brought Against Fusion-Io, Inc. and its Officers

The U.S. District Court for the Northern District of California appointed a lead plaintiff in a securities fraud class action brought against a flash memory manufacturer. Four separate actions were filed against Fusion-io Inc. and certain Fusion-io officers, alleging securities fraud arising from the defendants' false or misleading statements concerning the firm's relationship with its strategic customers, the anticipated demand from those customers for the firm's products and the growing competitive pressures the company was facing. The complaint alleged Fusion-io misrepresented that the company was a market leader in large-scale flash memory applications and was not facing any competitive pressure or risk from the commoditization of flash memory products, when it was in fact facing such pressure. The case came before the court on motions to consolidate and on the motion of plaintiff Fusion Investors Group (FIG) for appointment of lead plaintiff. After noting there was no objection to consolidation and concluding that consolidation was warranted given that all the cases arose from the same alleged conduct, the district court granted the motions to consolidate. The court separately noted that FIG's motion for appointment as lead plaintiff was unopposed. The court found FIG had the large financial stake in the litigation based on its declaration establishing that its losses were over $1.2 million as a result of the defendants' conduct. As a result, FIG was entitled to a statutory presumption under the Private Securities Litigation Reform Act of 1995 of being the most adequately plaintiff entitled to appointment as lead plaintiff. The court separately concluded FIG satisfied the requirements of Fed. R. Civ. P. 23(a). FIG's claims were typical of the claims, and FIG established it would adequately represent the interests of the class. The record indicated FIG consisted of two sophisticated investors, and under applicable precedent, small, cohesive groups similar to FIG were routinely appointed as lead plaintiffs. Accordingly, the district court granted FIG's motion for appointment as lead plaintiff.
