Grupo Modelo, S. A. B. de C. V., together with its subsidiaries, engages in the production, distribution, and sale of beer. The company brews and distributes beer under Corona Extra, Barrilito, Corona Light, Estrella, León, Modelo Especial, Modelo Light, Montejo, Negra Modelo, Pacífico, Pacífico Light, Tropical Light, and Victoria brands. It also imports and distributes beer of Budweiser, Bud Light, O'Doul's, Tsingtao, and Carlsberg brands; and produces and distributes bottled water under Gerber, Nestlé Pureza Vital, Perrier, Sta. María, and S. Pellegrino brands. In addition, the company operates convenience stores under the Extra name that offer soft drinks, water, wine, liquor, food, and other products; and owns sports teams. It operates 980 Extra stores in Mexico. The company sells its products in Mexico, as well as exports to approximately 180 countries. It has a strategic alliance with Nestlé Waters for the production and distribution of bottled water in Mexico. The company was founded in 1925 and is headquartered in Mexico, Mexico.

Grupo Modelo, S.A.B. de C.V. to Appoint Ricardo Tadeu as President of Mexico and Chief Executive Officer

Anheuser-Busch InBev the completion of the mergers of Diblo, S.A. de C.V. and Dirección de Fábricas, S.A. de C.V. with and into their affiliate, Grupo Modelo, S.A.B. de C.V. Following the mergers, AB InBev's economic interest in the Grupo Modelo companies remains largely unchanged at 50.3% and AB InBev has the right to appoint a tenth director on Grupo Modelo's 20-person Board of Directors. As previously announced, AB InBev will commence a tender offer to acquire all of the outstanding shares of Grupo Modelo that it does not already own at a price of USD 9.15 per share. Once the tender offer has been completed and the transaction has closed, Ricardo Tadeu, currently Business Unit President for Brazil, will be appointed as Zone President Mexico and Chief Executive Officer of Grupo Modelo. Mexico will become AB InBev's seventh Zone.

Grupo Modelo, S.A.B. de C.V. announced that Carlos Fernandez Gonzalez has resigned as chairman of the company's board of directors. He will be replaced by Daniel Del Rio, vice-president of operations, on a temporary basis, until Anheuser-Busch InBev completes the acquisition of the company. Del Rio is expected to be replaced by Ricardo Tadeu Almeida Cabral de Soares as chairman of Grupo Modelo and president of AB InBev Mexico.

Anheuser-Busch InBev SA/NV, Grupo Modelo, S.A.B. de C.V., Constellation Brands Inc. and Crown Imports LLC Announce Settlement Agreement with U.S. Department of Justice

Anheuser-Busch InBev SA/NV, Grupo Modelo, S.A.B. de C.V., Constellation Brands Inc. and Crown Imports LLC, have reached a final agreement with the U.S. Department of Justice on the terms of a settlement of the Department of Justice's litigation challenging AB InBev's proposed acquisition of the remaining stake in Grupo Modelo that it does not already own. The parties have jointly approached the Court with the terms of a proposed Final Judgment, which would fully resolve the Department of Justice's claims in its litigation challenging the proposed acquisition. The agreement is substantially in line with the revised transaction announced on February 14, 2013. The proposed Final Judgment presented to the Court includes additional binding commitments to the revised transaction, which are designed to ensure a prompt divestiture of assets by AB InBev to Constellation, the necessary build-out of the Piedras Negras brewery by Constellation, as well as certain distribution guarantees for Constellation in the United States.
