CenterPoint Energy, Inc. operates as a public utility holding company in the United States. The company’s Electric Transmission & Distribution segment engages in the transmission and distribution of electricity to retail electric providers (REPs), municipalities, electric cooperatives, and other distribution companies. As of December 31, 2012, this segment owned 28,011 pole miles of overhead distribution lines and 3,713 circuit miles of overhead transmission lines; 21,151 circuit miles of underground distribution lines and 26 circuit miles of underground transmission lines; and 233 substations with a capacity of 54,325 megavolt amperes. Its Natural Gas Distribution segment is involved in regulated intrastate natural gas sales to, and natural gas transportation for residential, commercial, and industrial customers; provides unregulated services consisting of heating, ventilating, and air conditioning (HVAC) equipment and appliance repair; and sells HVAC, and hearth and water heating equipment. As of December 31, 2012, this segment owned approximately 72,000 linear miles of natural gas distribution mains. The CenterPoint Energy, Inc.’s Competitive Natural Gas Sales and Services segment offers physical natural gas supplies primarily to commercial and industrial customers, and electric and gas utilities; natural gas management services; and physical delivery services and financial products. The company’s Interstate Pipelines segment operates approximately 8,000 miles of natural gas transmission lines, and 6 natural gas storage fields. Its Field Services segment provides operating and technical services, and remote data monitoring and communication services; and owns and operates approximately 4,600 miles of gathering pipelines and processing plants that collect, treat, and process natural gas. The company was founded in 1882 and is headquartered in Houston, Texas.

CenterPoint Energy, Inc. Announces Unaudited Consolidated Earnings Results for the First Quarter Ended March 31, 2013; Revised Earnings Guidance for the Full Year of 2013

CenterPoint Energy, Inc. announced unaudited consolidated earnings results for the first quarter ended March 31, 2013. For the quarter, the company reported total revenues of $2,084 million compared with $2,388 million for the same period a year ago. Operating income was $338 million compared with $332 million for the same period a year ago. Income before income taxes was $219 million compared with $233 million for the same period a year ago. Net income was $147 million or $0.34 per basic and diluted share compared with $147 million or $0.34 per basic and diluted share for the same period a year ago. Net cash provided by operating activities was $424 million compared with $533 million for the same period a year ago. Core operating income was $49 million in the first quarter of 2013, compared to $70 million the prior year. The company revised its estimate for 2013 earnings on a guidance basis to be in the range of $1.17 to $1.25 per diluted share. The company guided for 30% effective tax rate for 2013. This guidance range takes into consideration the closing of midstream partnership on May 1, the performance to date of businesses, as well as an estimate of portion of the partnership's earnings for the balance of 2013. The actual earnings of the partnership will be dependent on a number of variables. The most significant being commodity prices, volume throughput and the net synergies realized as the partnership's operations are integrated.

CenterPoint Energy, Inc., OGE Energy Corp. and ArcLight Capital Partners, LLC Complete Partnership

CenterPoint Energy, OGE Energy Corp. and ArcLight Capital Partners have completed the formation of the a partnership that includes CenterPoint Energy's interstate pipelines and field services businesses and the midstream business of Enogex LLC. The partnership will be managed by a general partner whose governance will be shared by CenterPoint Energy and OGE on a 50-50 basis. The new partnership has combined assets of nearly $11 billion. It owns and operates 8,400 miles of interstate pipelines with nearly 9 billion cubic feet per day of transport capacity and nearly 2,300 miles of intrastate pipelines. It also has more than 11,000 miles of gathering lines, which in 2012 moved nearly 4 billion cubic feet of natural gas per day. It also has more than 90 billion cubic feet of natural gas storage capacity and 11 major processing plants with nearly 2 billion cubic feet per day of inlet capacity. CenterPoint Energy has a 58.3% limited partner interest in the partnership. OGE Energy gas has 28.5% and ArcLight 13.2%. CenterPoint Energy will own a 40% interest and OGE Energy will own a 60% interests in any incentive distribution rights held by the general partner. CenterPoint Energy has designated David M. McClanahan, president and CEO of CenterPoint, and Gary L. Whitlock, executive vice president and chief financial officer of CenterPoint Energy, and OGE has designated Delaney and Sean Trauschke, vice president and chief financial officer of OGE, as their initial representatives on the board of directors of the general partner of the partnership.
