Philips Plans To Spin Off LED Lighting Components Unit

Koninklijke Philips N.V (ENXTAM:PHIA) said that it will separate its LED lighting components unit into a stand-alone company within Philips by 2015, preparing it for a potential spin-off or sale. The subsidiary had sales of €1.4 billion in 2013. Philips says it will explore "strategic options" to raise capital for the business, including from outside investors. Philips said it will remain a customer and shareholder of the new company. Philips is prepared to become a minority shareholder in the parts business and will remain a big customer as it continues to sell its own branded lights and services, said Philips Chief Executive Frans van Houten. Van Houten said the spin-off was not due to concerns LEDs themselves are becoming a commodity, despite recent price declines. "I can assure you it is a very sound business with great margins and good profitability," he said. "At this stage, given the strong intellectual property and differentiation" of Philips' LEDs, "we think we can compete very well with Asian competitors." Philips plans to merge its lighting components businesses into a separate unit valued at €2 billion and the unit may be listed. The company stated that by spinning off its Lumileds and its automotive lighting businesses, the unit would be better placed to compete for new business from outside customers who currently regard the Philips group as a competitor. The company also stated that it would seek equity or debt investors into the new business to help it expand its capacity, with an initial public offering one of the options. Philips said the spin-off of the subsidiary should be completed by the first half of 2015.

Royal Philips NV and Salesforce.com, Inc Co-Operate to Develop Internet Medical Platform

Royal Philips NV and Salesforce.com Inc. announced they are jointly developing a software platform for medical services. The companies said the system would be used for 'patient relationship management,' for instance allowing doctors and nurses to collaborate on patient treatment. The company's said a major advantage would be in making it easier to compile information coming from various sources in one system so it can be analyzed by medical professionals; another will be easing the monitoring and treatment of chronically ill patients who live at home.

Royal Philips and Salesforce.com Announce Strategic Alliance to Deliver Cloud-Based Healthcare Information Technology

Royal Philips and salesforce.com announced a strategic alliance to deliver an open, cloud-based healthcare platform, leveraging Philips' positions in medical technology, clinical applications and clinical informatics and salesforce.com's positions in enterprise cloud computing, innovation and customer engagement. Patient relationship management will be at the center of the envisioned platform, allowing caregivers to collaborate closely in support of their patients. The platform will enable medical device and data interoperability - the collection of data and subsequent analysis to enhance clinical decision making by professionals and enabling patients to take a more active role in managing their personal health. The collaboration has already resulted in two clinical applications to be launched on the new platform later in 2014 summer: 'Philips eCareCoordinator' and 'Philips eCareCompanion'. These care collaboration applications will allow the care team to monitor patients with chronic conditions in their homes and will facilitate Philips' Hospital to Home clinical programs, such as Banner iCare(TM), being piloted at Banner Health. Philips and salesforce.com envision that apps will cover the continuum of care: from self-care and prevention, to diagnosis and treatment through recovery and wellness. The envisioned platform, based on the Salesforce1 Platform, will enable collaboration and workflow, as well as integration of data from multiple sources worldwide, including electronic medical records, diagnostic and treatment information obtained through Philips' imaging equipment, monitoring equipment, personal devices and technologies like Apple's HealthKit.
