Komax Holding AG is engaged in the development, production, and sale of capital goods for precision engineering, electronics, and information technology in the areas of wire-processing, and automated production and assembly worldwide. The company operates in three segments: Komax Wire, Komax Solar, and Komax Medtech. The Komax Wire segment offers electrical, rotary, and coaxial wire strippers, as well as rotary jacket strippers; wire crimpers for semiautomatic machines; cutting and stripping machines; crimp to crimp machines for processing single conductors and double-crimp connections; harness machines for block loading and wire harness manufacturing; twisting solutions; and wire handling machines for preliminary wire processing. This segment also provides automatic wire processing machines; monitoring modules; software solutions for automatic crimping machines; a range of accessories; and test systems, as well as creates processing modules. The Komax Solar segment offers process automation systems for the production of solar modules, including stringers, which solder individual solar cells into strings; lay-up systems that form individual strings into a matrix; and laminators, which seal the matrices. The Komax Medtech segment develops machine systems for the automatic assembly of mass-produced medical devices, such as inhalers or insulin delivery and injection systems; and systems for the mass production of cartridges for inkjet printers. Komax Holding AG was founded in 1975 and is headquartered in Dierikon, Switzerland.

Komax Holding AG Announces Consolidated Earnings Results for the First Half of 2014; Provides Earnings Guidance for the Second Half and Full Year 2014

Komax Holding AG announced consolidated earnings results for the first half of 2014. For the period, Revenues were CHF 171,573,000 against CHF 157,917,000 a year ago. Operating cash flow (EBITD) was CHF 27,291,000 against CHF 27,227,000 a year ago. Operating profit (EBIT) was CHF 22,539,000 against CHF 22,696,000 a year ago. Group profit after taxes from continued operations was CHF 20,982,000 against CHF 19,665,000 a year ago. Group profit after taxes (EAT) was CHF 8,254,000 against CHF 15,708,000 a year ago. Free cash flow was CHF 10,023,000 against CHF 12,041,000 a year ago. On the basis of the information currently available, the company is expecting net sales in the second half of 2014 to be broadly on a par with the first half. However, the economic climate for Komax Medtech has taken a turn for the worse. The business unit's success in 2014 now depends substantially on more orders being booked in La Chaux-de-Fonds. The Group's solar activities will be taken over by the present management team in the second half of the year. Until the definitive handover of the solar business, the company is expecting a further negative contribution to the results in the second half. The company is once again anticipating solid results for the 2014 financial year.

Walter Nehls to Step Down from Head of Komax Solar

The Komax Group has agreed to sell the solar activities to the existing management team through a management buyout (MBO). The MBO is structured as an asset deal. The business will be continued by a new company in which Komax has a minority holding. The new company is due to commence operations in the second half of 2014. As a result of the MBO, Walter Nehls currently Head of Komax Solar, will step down from Group Management and leave the Komax Group.

Komax Holding AG Approves Dividend for 2013, Payable on May 15, 2014; Approves Board Changes

Komax Holding AG announced that the ordinary Annual General Meeting of shareholders of the company was May 7, 2014, has approved the proposal of the Board of Directors to pay a dividend for 2013 of CHF 4.50 per share in the form of a distribution from the capital contribution reserves. The ex-date will be 12 May 2014, the payment date 15 May 2014. Max Koch did not stand for re-election. The Annual General Meeting elected David Dean as a new member of the Board of Directors. Roland Siegwart were appointed to the Remuneration Committee.
