Level 3 Communications Inc. to Sell $600 Million in Corporate Debt Notes it Plans to Use to Refinance Some TW Telecom Inc. Debt

Level 3 Communications Inc. will sell $600 million in corporate debt notes it plans to use to refinance some TW Telecom Inc. debt after the proposed $7.3 billion deal to combine the companies is completed. The new, fixed-rate senior notes will be sold, with proceeds held in escrow until the TW Telecom transaction is completed. The notes, which are scheduled to mature in 2022, will be sold via private offer to qualified institutional buyers. The gross proceeds from the offering will reduce the outstanding bridge loan commitment Level 3 has in place with certain financial institutions in connection with refinancing certain TW Telecom Inc. indebtedness. If the proceeds cannot be used to refinance TW Telecom debt before June 15, 2015, Level 3 will use the proceeds in escrow to redeem the new debt notes. The overall deal's value reaches $7.3 billion including TW Telecom's $1.6 billion in corporate debt. The transaction still needs to clear regulatory and shareholder approval. Level 3 announced the expanded executive team that the combined company will have.

Competitive Companies, Inc. Signs Agreement with Level 3 Communications for IP and Colocation Services

Competitive Companies, Inc. (CCI) has signed an agreement to purchase IP and colocation services from Level 3 Communications. The new services will provide CCI with the network infrastructure to build out its carrier-class wireless services. The reach and reliability of the Level 3 network will deliver greater scale and value to carrier customers nationwide direct access to the Level 3 network at more than 20 sites nationwide will provide CCI with the underlying interconnection capabilities to deliver its gigabyte Diamond Ring backhaul and Small Cell network. The Diamond Ring consists of a dual redundant millimeter wave gigabyte ring from which all services originate.

Level 3 Communications, Inc. reported unaudited consolidated earnings results for the second quarter ended June 30, 2014. For the quarter, the company reported total revenue of $1.625 billion compared to $1.565 billion for the second quarter 2013. Net income was $51 million or $0.21 basic and diluted net income per share compared to a net loss of $24 million or $0.11 basic and diluted net income per share in the second quarter 2013. Net loss was $0.11 per basic and diluted share compared with $0.29 per basic and diluted share a year ago. Adjusted EBITDA was $463 million for the quarter compared with $385 million for the second quarter 2012. Capital expenditures were $241 million compared with $208 million a year ago. Net cash provided by operating activities was $303 million compared with $216 million a year ago. As on June 30, 2014, the company's net debt was $7,749 million. Operating income was $256 million compared with $140 million a year ago. Income before income taxes were $63 million compared with loss before income taxes of $13 million a year ago. Free cash flow was positive $62 million for the second quarter 2014, compared to positive $8 million in the second quarter 2013.
