The company operates in two segments, Performance and Risk, and Governance. The Performance and Risk segment offers investment decision support tools, including equity indices, real estate indices and benchmarks, portfolio risk and performance analytics, and credit analytics, as well as environmental, social, and governance products. Its products are used in various investment processes, including portfolio construction and rebalancing, performance benchmarking and attribution, risk management, regulatory and client reporting, index-linked investment product creation, asset allocation, assessment of corporate management, environmental stewardship, investment manager selection, and investment research marketed under the MSCI, MSCI ESG Research, IPD, RiskMetrics, Barra, InvestorForce, and FEA brands. The Governance segment provides corporate governance products and services to institutional investors and corporations. It offers global equity security coverage and fully integrated products and services, including proxy voting; policy creation, application, and management; research; vote recommendations; vote execution; post-vote disclosure and reporting; and data and analytical tools. This segment also provides securities class action monitoring and claims filing services to aid institutional investors in the recovery of funds from securities class action settlements. Its clients include asset owners, institutional and retail asset managers, financial intermediaries, and corporate clients. The company was founded in 1998 and is headquartered in New York, New York.

MSCI Inc. Completes Private Offering of $800 Million Senior Notes Due 2024 and Enters into $200 Million New Revolving Credit Agreement

MSCI Inc. completed its previously announced private offering of $800 million aggregate principal amount of 5.250% senior notes due November 15, 2024. MSCI used the net proceeds from the Offering, together with cash on hand, to prepay in full its $794.8 million of outstanding indebtedness under its senior secured term loan facility and has terminated such facility. The company also announced that it has entered into a new $200 million senior unsecured revolving credit agreement by and among MSCI, as borrower, certain of its subsidiaries, as guarantors, the lenders party thereto, and JPMorgan Chase Bank, N.A., as administrative agent. Interest on the advances under the New Revolving Credit Agreement will accrue at an annual rate based on LIBOR or the base rate plus, in each case, an applicable margin.

MSCI Inc. Prices USD 800 Million Senior Notes Offering Due 2024

MSCI Inc. announced that it has priced a private offering of USD 800 million aggregate amount of 5.250% senior notes due November 15, 2024 at an issue price of 100% to yield 5.250%. The offering is expected to settle on November 20, 2014, subject to customary closing conditions.

MSCI Inc. Appoints Stephen Davidson as Managing Director of Investor Relations

MSCI Inc. announced that Stephen Davidson has joined MSCI as Managing Director and Director of Investor Relations. Based in New York, Mr. Davidson reports to Bob Qutub, Chief Financial Officer at MSCI, and he will be the primary point of contact with investors and analysts who cover MSCI. Before joining MSCI, Stephen was managing director and head of investor relations for Markit. Previously, he was a senior vice president and head of investor relations at NYSE Euronext. Mr. Davidson succeeds Edings Thibault who is moving into a new role as Global Head of Business Intelligence.
