NewRiver Retail Limited Announces Agreement with The Co-operative Group Limited to Lease Public House Portfolio

NewRiver Retail Limited announced that it has completed and expanded the agreement with The Co-operative Group Limited to lease a significant element of the public house portfolio acquired from Marston's PLC by NewRiver's joint venture partnership with BRAVO II (a fund advised or managed by Pacific Investment Management Company LLC) on 28 November 2013. The agreement is the completion and expansion of the original conditional agreement announced 7 April 2014. NewRiver has confirmed the agreement for lease of a portfolio of 63 new C-Stores across the UK to The Co-operative Group totaling 215,232 sq ft of new retail space, a 7.6% increase in space from the original conditional agreement of 54 stores announced 7 April 2014. The lease terms remain at 15 years with no break clause and an annual RPI-linked rental increase formula capped at 4% and collared at 1%. The rental income agreed varies between £15.00 per sq ft and £17.50 per sq ft. The C-Stores will range in size from 3,000 sq ft to 4,200 sq ft and will benefit from dedicated and shared car parking spaces ranging from 10 to 25 spaces. The agreement is performance-incentivised whereby NewRiver will receive additional payments upon delivery of various tranches of the Portfolio. With the increase in the portfolio, the total fee payable is now £3.85 million, up from £2.70 million as announced in April 2014.

NewRiver Retail Limited Declares First Interim Dividend for the Quarter Ended June 30, 2014, Payable on October 31, 2014

NewRiver Retail Limited board has declared its first interim dividend relating to the quarter ended June 30, 2014 of 4.25 pence per share. This interim dividend will be paid on October 31, 2014 to shareholders on the register at close of business on September 26, 2014. The ex-dividend date will be September 24, 2014. Of this interim dividend 1.0 pence per share will be paid as a REIT Property Income Distribution (PID).

NewRiver Retail Limited Announces Acquisition of Four Retail Park Properties

NewRiver Retail Limited announced the acquisition of a portfolio of four retail park properties (Linear Portfolio) from a UK institution for a total consideration of GBP 17.3 million. The freehold assets have been acquired at an attractive net initial yield of 9.12%. Each of the assets provides a range of substantial asset management opportunities to significantly enhance income and capital value. The Linear Portfolio comprises two multi-let retail park properties and two retail warehouse properties located in high catchment areas across the UK. The portfolio is let to six tenants providing a long weighted average unexpired lease term of 7.4 years. In total the portfolio comprises 196,300 sq ft of lettable space with a total annual rent of GBP 1,670,096 equating to an affordable average rent of GBP 8.51 per sq ft. The attractive entry price is also approximately 45% below the price paid for the same assets the last time they were traded in the market. The Linear Portfolio includes theSE assets: Clough Road Retail Park near Hull is a 95,000 sq ft retail warehouse let to Curry's and PC World as well as Smyths Toys. Poundstretcher Wymondham near Norwich, is a 26,300 sq ft modern retail warehouse let to discount retailer Poundstretcher on a 10 year lease at an annual rent of GBP 250,000. The asset is the only retail warehouse in the historic market town. Halfords Paisley near Glasgow is a 20,100 sq ft unit let to car and bike specialist Halfords on an 8 year lease at an annual rent of GBP 160,704. The asset benefits from a prominent location close to Paisley town centre.
