Oil-Dri Corporation of America mines, develops, manufactures, and markets sorbent products in the United States and internationally. The company offers cat litter products, including coarse and scoopable products under the Cat’s Pride and Jonny Cat brands; industrial and automotive sorbent products from clay, polypropylene, and recycled cotton materials to absorb oil, grease, water, and other types of spills under the Oil-Dri brand; and bleaching clay and purification aid products for bleaching, purification, and filtration applications under the Pure-Flo, Perform, Select, and Ultra-Clear brands. It also provides agricultural and horticultural products, such as granular and powdered mineral absorbent products for crop protection chemicals, drying agents, bulk processing aids, growing media components, and seed enhancement media under Agsorb, Verge, Flo-Fre, and Terra-Green brands. In addition, the company offers animal health and nutrition products, which include enterosorbent products and animal feed binders for the livestock feed industry under the Calibrin, ConditionAde, Pel-Unite, and Pel-Unite Plus brands; and sports products for use on baseball, football, and soccer fields under the Pro’s Choice brand. Its customers include mass merchandisers, wholesale clubs, drugstore chains, pet specialty retail outlets, dollar stores, retail grocery stores, distributors of industrial cleanup and automotive products, environmental service companies, and sports field product users; processors and refiners of edible oils, petroleum-based oils, and biodiesel fuel; manufacturers of animal feed and agricultural chemicals; and marketers of consumer products. The company sells its products through sales force; food brokers; distributors, including industrial, auto parts, safety, sanitary supply, chemical, and paper distributors; and catalogs and the Internet. Oil-Dri Corporation of America was founded in 1941 and is based in Chicago, Illinois.

PwC’s audit reports on the consolidated financial statements of the company and its subsidiaries as of and for the fiscal years ended July 31, 2013 and 2012 did not contain an adverse opinion or a disclaimer of opinion, and were not qualified or modified as to uncertainty, audit scope, or accounting principles. During the company's two most recent fiscal years ended July 31, 2013 and 2012 and through March 17, 2014, there were (i) no disagreements between the company and PwC on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreements, if not resolved to the satisfaction of PwC, would have caused them to make reference thereto in their reports on the consolidated financial statements for such years and (ii) no “reportable events” as that term is defined in Item 304(a)(1)(v) of Regulation S-K. On March 17, 2014, the Audit Committee of the Board of Directors of the company appointed Grant Thornton LLP as the company’s independent registered public accounting firm for its fiscal year ending July 31, 2014, effective immediately. During the company’s two most recent fiscal years ended July 31, 2013 and 2012 and through March 17, 2014, neither the company nor anyone acting on its behalf consulted with Grant Thornton LLP.
