The Annual General Meeting of Phoenix Group Holdings Plc was held on May 2, 2013. At the meeting, the shareholders approved the payment of a final dividend of 26.7 pence per ordinary share for the year ended December 31, 2012.

Phoenix Group Holdings Plc announced that Ian Ashken and Charles Clarke have ceased to be directors of the company with effect from 2 May 2013. This follows their decision not to stand for re-election at the Annual General Meeting held on 2 May 2013, as reported in the company's Annual Report for the year ended 31 December 2012. Isabel Hudson has replaced Charles Clarke on the Board Audit Committee with effect from 2 May 2013, such that the Board Audit Committee remains constituted of three independent non-executive directors in compliance with the UK Corporate Governance Code.
