Pall Corporation manufactures and markets filtration, separation, and purification products; and integrated systems solutions worldwide. Its Life Sciences segment provides technologies that facilitate the process of drug discovery, development, regulatory validation, and production, which are used in the research laboratories, pharmaceutical, biotechnology, and food and beverage industries, as well as in hospitals. It offers medical products to control the spread of infections in hospitals; cell therapy products; and filtration and purification technologies, associated hardware, and engineered systems for the development and commercialization of drugs, plasma, and vaccines. This segment also provides validation services to drug manufacturers; offers laboratory products for use in drug research and discovery, quality control testing, and environmental monitoring applications; and serves the filtration needs of beer, wine, dairy, alcohol-free beverage, bottled water, and food ingredient markets. This segment sells products through its direct sales force and distributors. The company’s Industrial segment provides various technologies to producers and users of energy, oil, gas, renewable and alternative fuels, power, chemicals, and water, as well as to the machinery and equipment markets. This segment also offers filtration and fluid monitoring equipment for use in commercial and military aircraft, and marine and land-based military vehicles; filtration and purification technologies for the semiconductor, data storage, graphic arts, display, and electronic components markets; and a suite of contamination control solutions for chemical, gas, water, chemical mechanical polishing, and photolithography processes. This segment offers products through its sales force, distributors, manufacturers’ representatives, and architectural and engineering firms. Pall Corporation was founded in 1946 and is headquartered in Port Washington, New York.

Pall Corporation announced unaudited consolidated earnings results for the fourth quarter and year ended July 31, 2014. For the quarter, the company reported net sales of $799,954,000 compared to $716,818,000 a year ago. Operating profit was $158,172,000 compared to $134,455,000 a year ago. Earnings from continuing operations before income taxes were $146,315,000 compared to $110,896,000 a year ago. Net earnings from continuing operations were $120,086,000 or $1.08 per diluted share compared to $86,207,000 or $0.76 per diluted share a year ago. Net earnings were $120,086,000 or $1.08 per diluted share compared to $85,628,000 or $0.75 per diluted share a year ago. Pro forma diluted earnings per share from continuing operations were $1.11 compared to $0.90 a year ago. Pro forma earnings from continuing operations were $123,467,000 compared to $101,703,000 a year ago. For the year, the company reported net sales of $2,789,147,000 compared to $2,648,063,000 a year ago. Operating profit was $509,101,000 compared to $467,429,000 a year ago. In fiscal year 2015, the company expects total revenue growth in the mid-to-high single-digits, with pro forma EPS of $3.75 to $3.95, which represents 9% to 15% growth over solid fiscal 2014 performance. This represents incremental profit margins of 35% to 40% on the whole, including the impact of the acquisitions. The company expects something like $90 million to $100 million of CapEx in fiscal 2015. There is still lot of opportunity from an operating cash flow point of view on both the DSO, DPO and frankly more than 2, just even on DIO side. Effective tax rate will likely rise to 23%, primarily due to the expected geographic mix of fiscal 2015 earnings in the absence of the benefit from the U.S. tax extenders, including the R&D tax credit.

Pall Corporation Enters into an Amended and Restated Credit Agreement

Pall Corporation announced that on August 11, 2014, the company entered into an amended and restated credit, among the company, Bank of America, N.A., as administrative agent, JPMorgan Chase Bank, N.A., as syndication agent, Wells Fargo Bank, National Association, HSBC Bank US, National Association, The Bank of Tokyo-Mitsubishi UFJ Ltd., Sumitomo Mitsui Banking Corporation, TD Bank, N.A. and Suntrust Bank, as co-documentation agents, and Bank of America Merrill Lynch, J.P. Morgan Securities LLC, HSBC Bank USA, National Association and Wells Fargo Securities, LLC, as joint lead arrangers and joint bookrunners and the other lenders party thereto. The Credit Agreement amends and restates the company's existing credit agreement (the 2013 credit agreement). The agreement provides for the terms under which Lenders will make available to the company up to an aggregate of $1.5 billion in the form of (i) loans, which may be denominated as Base Rate loans or Eurocurrency Rate loans, depending on the interest rate on the loan (described below), (ii) letters of credit, and (iii) swing line loans, with an aggregate $125 million sublimit, denominated as Base Rate loans. The company must repay all borrowings under the facility by, and the Lenders' commitments under the agreement will terminate on, August 11, 2019, unless earlier terminated in accordance with the agreement, including by the administrative agent, at the request or with the consent of the lenders, upon the occurrence of an event of default under the agreement. The company may prepay loans in accordance with the Agreement without premium or penalty.
