REX American Resources Corporation announced that the company's Board of Directors, acting pursuant to the company's Bylaws, increased the number of directors from eight to nine and appointed J. Dennis Hastert to fill the newly created directorship. Mr. Hastert satisfies the standards for director independence under the applicable rules of the SEC and the NYSE as well as the company's Corporate Governance Guidelines and reflecting his appointment, the company's Board will be composed of six members who satisfy the standards for director independence under NYSE listing rules. Mr. Hastert, 72, has been a member of the Public Policy & Law Practice of Dickstein Shapiro LLP since 2008 where he concentrates in the areas of government law and strategy and public policy. Mr. Hastert served as Speaker of the U.S. House of Representatives from January 1999 until January 2007 and was the longest-serving Republican Speaker in history. He was elected to the U.S. House of Representatives in 1987 and served Illinois' 14th Congressional District from 1987 to 2007. He was a senior member of the Energy and Commerce Committee and prior to his time in Congress, served in the Illinois House of Representatives from 1980 to 1986.

Rex American Resources Corporation Reports Un-Audited Consolidated Earnings Results for the First Quarter Ended April 30, 2014

REX American Resources Corporation reported un-audited consolidated earnings results for the first quarter ended April 30, 2014. For the quarter, the company reported net sales and revenue of $155.9 million, compared with $178.4 million in first quarter of 2013, principally due to lower commodity pricing. Net income attributable to the company shareholders rose to $21.7 million, compared with $3.5 million in 2013, while first quarter of 2014 diluted net income per share attributable to the company common shareholders rose to a record $2.67 per diluted share, compared to $0.43 per diluted share in 2013. The company reported income from continuing operations before income taxes and non-controlling interest of $38.0 million compared to $5.8 million, income from continuing operations including non-controlling interests of $24.1 million compared to $3.8 million, net cash provided by operating activities of $26.8 million compared to $8.8 million and capital expenditures of $0.5 million compared to $32,000 for the last year. Diluted income per share from continuing operations of $2.66 per share compared to $0.39 per share in last year.
