The annual meeting of shareholders of Reinsurance Group of America, Incorporated was held on May 15, 2013 approved amend to the corporation's articles of incorporation to declassify the board of directors.
SCOR SE (ENXTPA:SCR) is reportedly in lead to acquire Generali USA Life Reassurance Company from Assicurazioni Generali S.p.A. (BIT:G), two people familiar with the matter said. Generali USA is seen as an attractive asset by sector bankers who estimate the unit is worth about $800 million. Scor was bidding against Reinsurance Group of America Inc. (NYSE:RGA) in the last round of the auction and is now expected to announce a deal with Generali shortly, the people said. Chief Executive Officer of Assicurazioni Generali, Mario Greco said that the asset sale process is at a very advanced stage, expressing optimism about the outcome of the process. At the moment, the sales are in their advanced stage, yet no final decisions have been made so far, Greco said. We hope that the process will go on as expected, Greco added. Greco said that Generali has not set deadlines for the finalization of the assets sale and the group will dispose of the assets under satisfactory conditions. A spokeswoman for RGA was not immediately available for comment. Scor and its financial advisor Deutsche Bank declined to comment and Generali's advisor Citigroup was not immediately available for comment to Reuters.
Reinsurance Group of America Inc. reported unaudited consolidated earnings results for the first quarter ended March 31, 2013. For the quarter, the company reported total revenues of $2,601.102 million compared to $2,292.975 million a year ago. Income before income taxes was $278.827 million compared to $180.763 million a year ago. Net income was $185.535 million or $2.49 per diluted share compared to $123.318 million or $1.67 per diluted share a year ago. Operating income was $122.847 million or $1.65 per diluted share compared to $112.377 million or $1.52 per diluted share a year ago. Net premiums were $1,979.693 million compared to $1,863.482 million a year ago. Operating return on equity (ex AOCI)-annualized was 10.1% compared to 10.6% a year ago. Operating return on equity (ex AOCI)-trailing 12 months was 11.4% compared to 12% a year ago. Book value per share was $94.34 compared to $80.44 a year ago. Book value per share, excluding AOCI was $67.37 compared to $58.57 a year ago. Pre-tax operating income $182.867 million compared to $165.254 million a year ago. The board of directors of the company declared a regular quarterly dividend of $0.24, payable on May 31, 2013 to shareholders of record as of May 10, 2013.
