Rockwood Holdings, Inc. develops, manufactures, and markets various specialty chemicals for industrial and commercial applications primarily in Germany, the United States, and Europe. The company operates in two segments, Lithium and Surface Treatment. The Lithium segment offers basic lithium compounds comprising lithium carbonate, which is used as a fluxing agent for enamels, glass, and ceramic production; lithium hydroxide for the use in high performance greases; lithium nitrate for the rubber industry; lithium chloride, which is principally used in gas and air treatment; and potash, a by-product of lithium brine. It also offers special salts that include lithium phosphate, which is used as a catalyst for chemical reactions; lithium bromide that is used for air conditioning applications; and lithium carbonate for pharmaceutical applications, as well as butyllithium/lithium metal products that is used as a polymerization initiator for synthetic rubber and thermoplastic elastomers. In addition, this segment provides battery products for electronic applications in disposable and rechargeable batter industries; lithium compounds and other products for life science applications, such as special reagents for the synthesis of drug intermediates, and for the flavor and fragrances industry; and special metal compounds for X-ray diagnostic systems and airbag applications in chemical, pharmaceutical, metallurgical, automotive, electronics, and pyrotechnical industries. The Surface Treatment segment offers various metal surface treatment products; cleaners, iron phosphates, coolants, paint strippers, and flocculants; corrosion protection products that comprise waxes, which are used to protect airframes; maintenance chemicals for aircraft engines and turbines; and sealants for airplanes. This segment serves automotive, aerospace, and general, as well as steel and metal-working industries. Rockwood Holdings, Inc. was incorporated in 2000 and is based in Princeton, New Jersey.

Rockwood Holdings, Inc. announced unaudited consolidated earnings results for the second quarter and six months ended June 30, 2014. For the quarter, the company reported net sales of $362.3 million compared to $347.9 million a year ago. Operating income was $53.7 million compared to $53.5 million a year ago. Income from continuing operations before taxes was $46.4 million compared to $34.7 million a year ago. Income from continuing operations was $34.1 million or $0.47 per diluted share against $25.7 million or $0.33 per diluted share for the same period a year ago. Net income attributable to the company stockholders was $46.7 million or $0.64 per diluted share compared to $31.1 million or $0.39 per diluted share a year ago. Adjusted EBITDA was $140.1 million compared to $164.6 million a year ago. Adjusted net income from continuing operations was $45.5 million, or $0.62 per share compared to $0.62 million, or $0.39 per share, for the same period in the prior year. Net sales were up 4.1% versus last year, driven by strong performance on Surface Treatment business and significantly higher sales in the battery-grade lithium business. In terms of Adjusted EBITDA up 3%, driven by higher sales, slight offset by the higher SG&A incurred in order to position for future growth. Adjusted EPS was up 59% versus the same period last year. For the six months, the company reported net sales of $716.8 million compared to $685.0 million a year ago. Operating income was $102.9 million compared to $99.2 million a year ago. Income from continuing operations before taxes was $80.9 million compared to $42.0 million a year ago. Income from continuing operations was $55.8 million or $0.75 per diluted share against $32.2 million or $0.41 per diluted share for the same period a year ago. Net income attributable to the company stockholders was $25.9 million or $0.35 per diluted share compared to $48.9 million or $0.62 per diluted share a year ago. Net cash provided by operating activities was $99.1 million compared to $135.7 million a year ago. Capital expenditures were $88.6 million compared to $82.9 million a year ago. Adjusted EBITDA was $268.8 million compared to $331.6 million a year ago. Adjusted net income from continuing operations was $31.0 million, or $1.05 per share compared to $0.39 million, or $0.68 per share, for the same period in the prior year.

Andrews & Springer LLC Files Class Action Lawsuit Against Rockwood Holdings, Inc

Andrews & Springer LLC announced that a class action lawsuit has been filed on behalf of stockholders of Rockwood Holdings Inc. seeking to challenge the Company's recently announced merger. According to the lawsuit, on July 15, 2014, Rockwood and Albemarle Corporation announced the signing of a definitive merger agreement pursuant to which Albemarle will acquire Rockwood in a merger valued at roughly $6.2 billion. As a result of the merger, Rockwood shareholders are only anticipated to receive $50.65 per share in cash and 0.4803 of Albemarle stock in exchange for each share of Rockwood. The total combined consideration Rockwood shareholders are expected to receive is roughly $85.53 per share. The complaint, which was filed on July 24, 2014 in the New Jersey Superior Court, alleges that the consideration that Rockwood shareholders are expected to receive is inadequate.
