Rockwood Holdings, Inc. develops, manufactures, and markets specialty chemicals and advanced materials for industrial and commercial applications primarily in Germany, the United States, and Europe. The company operates in four segments: Specialty Chemicals, Performance Additives, Titanium Dioxide Pigments, and Advanced Ceramics. The Specialty Chemicals segment offers lithium compounds and chemicals; metal surface treatment chemicals, including corrosion protection/prevention oils; natural and synthetic metal sulfides; and maintenance chemicals for use in automotive pre-coating metal treatment, car body pre-treatment, steel and metal working, life sciences, polymerization, batteries, and disc brakes, as well as in aircraft industry. The Performance Additives segment provides iron-oxide pigments, wood protection products, inorganic chemicals, synthetic and organic thickeners, and flocculants for use in residential and commercial construction and plastics, coatings, personal care, paper manufacturing, foundries, oilfield, and water treatment. The Titanium Dioxide Pigments segment offers titanium dioxide pigments, barium compounds, and zinc compounds for use in synthetic fibers for clothing, plastics, paper, paints and coatings, and pharmaceutical contrast media. The Advanced Ceramics segment provides ceramic tapes, cutting tools, wear and corrosion products, and armor components for industrial, electronics, and automotive applications, as well as ceramic ball head and liner components for use in hip joint prostheses systems. Rockwood Holdings, Inc. also offers wafer recycling and repair services for semiconductors manufacturers; and rubber/thermoplastic components for automotive industry. The company sells its products through direct sales forces, as well as through distributors and third party sales representatives. Rockwood Holdings, Inc. was incorporated in 2000 and is based in Princeton, New Jersey.

BC Partners, Bain Capital, LLC, Cinven are reportedly planning to acquire CeramTec GmbH from Rockwood Holdings, Inc. (NYSE:ROC). Rockwood is hoping to sell for more than €1.4 billion. The suitors, each of whom valued CeramTec at about €1.4 billion in a previous round of bids, are expected to place final offers around mid-June 2013, several people familiar with the transaction said, adding that a further suitor may emerge in future. Officials at the private-equity firms declined to comment on the information; Rockwood was not immediately available for comment. Bidders who participated in a previous round included Permira Advisers Ltd. , TPG Capital, L.P. and The Blackstone Group L.P. (NYSE:BX) which have since dropped out, people familiar with the matter said.
Rockwood Holdings, Inc. announced unaudited consolidated earnings results for the first quarter ended March 31, 2013. For the quarter, the company reported net sales of $934.6 million compared to $909.5 million a year ago. Operating income was $86.7 million compared to $151.5 million a year ago. Income before taxes was $24.9 million compared to $120.3 million a year ago. Net income attributable to the company shareholders was $18.9 million or $0.24 per diluted share compared to $75.8 million or $0.94 per diluted share a year ago. Net cash provided by operating activities was $48.8 million compared to $45.7 million a year ago. Capital expenditures, net were $67.6 million compared to $74.2 million a year ago. Adjusted EBITDA was $168.2 million compared to $234.9 million a year ago. Negative free cash flow was $5.5 million compared to $18.7 million a year ago. Adjusted net income was $54.4 million or $0.68 per diluted share compared to $98.7 million or $1.23 per diluted share a year ago. Net income included other net charges of $35.5 million.
