Agenda: To receive and consider the audited financial statements of the corporation for the financial year ended December 31, 2011; to fix the number of directors of the corporation at four directors; to elect Johannes Kingma, David Pinkman, David Ragan and Judy Leverington as directors of the corporation for the ensuing year; to appoint Collins Barrow Calgary LLP as auditors of the corporation for the ensuing year, and to authorize the Board of Directors of the corporation to fix the auditors' remuneration; to consider, and if thought appropriate, to pass, with or without variation, an ordinary resolution re- approving the stock option plan of the corporation; and to transact such other business as may be properly brought before the meeting or any adjournment thereof.

Marifil Mines Ltd. announced that the company and Saccharum Energy Inc. have mutually agreed to terminate Joint Venture agreements and the purchase of Oxbow Holdings Corp. in relation to the Company's K-2, K-3, and K-4 potash projects. Saccharum has cited its inability to obtain regulatory approval as the principal reason for its withdrawal and emphasizes that such withdrawal was in no way a reflection on the quality of the properties. Saccharum management remains a large shareholder of the company.
