Sandspring Resources Ltd. announced the adoption by its board of directors of amendments to its by-laws to add a provision that requires advance notice to the company in circumstances where director nominations are made by shareholders of the company, other than in connection with the requisition of a shareholders' meeting, or a shareholder proposal, in each case made pursuant to the Business Corporations Act (Ontario). The by-law amendment is effective immediately and will be placed before shareholders for ratification and confirmation at the next annual and special meeting of shareholders of the Company to be held in June 2013.

The terms of the five-year MOU contemplate that the hydro-electric facility would be developed on a timeline that supports the conversion of the Toroparu Project to hydro-electric power as mining and processing are expanded in the fourth year of Sandspring's mine plan defined in the pre-feasibility study results released on April 10, 2013.
