The company operates in five segments: Austria, Bulgaria, Croatia, Belarus, and Additional Markets. It offers long distance, local, and wireless services; corporate data communications services; and fixed line services and mobile communication services to individuals, and commercial and non-commercial organizations, as well as to other national and foreign carriers. The company’s fixed line services include access services, Internet, fixed to mobile calls, international traffic, voice value-added services, interconnection, call center services, and public payphone services; and mobile communications services comprise value-added services, text and multimedia messaging, m-commerce, and information services. It also provides voice telephony, access to emergency services, directory services, Internet access, data and IT solutions, wholesale services, IP television and other IP based services, and payment solutions, as well as is engaged in the sale of end-user terminal equipment. In addition, the company is involved in the supply of telephones and technical equipment for telephone communications; sale of mobile handsets; and setting up of customer lines, which include installation work. It serves approximately 20.1 million mobile customer base and 2.6 million fixed access lines. Telekom Austria AG operates primarily in Austria, Bulgaria, Croatia, Belarus, Slovenia, Serbia, Macedonia, and Liechtenstein. The company is based in Vienna, Austria.

Telekom Austria AG Proposes Changes in the Articles of Association

Telekom Austria AG proposed changes in the articles of association in 5, 8, 9, 11, 12, 17 and 18 at its EGM to be held on 14 August 2014.

Telekom Austria Group Provides Impairment Guidance for the First Half of 2014; Reiterates Earnings Guidance for 2014

Telekom Austria Group announced that it will book an impairment of approximately EUR 400 million for its Mobiltel as a result of the company’s ongoing regular sensitivity analyses. This impairment is primarily due to an increase in the cost of capital of the Bulgarian segment and changed expectations with regard to medium-term macroeconomic developments in Bulgaria, as well as related market effects which affect the valuation of Telekom Austria Groups business plan for the Bulgarian segment. Approximately half of the total impairment is due to a change in the weighted average cost of capital (WACC) of the Bulgarian segment as well as changed medium-term expectations as regards macroeconomic risks for Bulgaria, due to the crisis in the Ukraine. As of May 2014 Mobiltels WACC increased by over 20% against the last impairment test in the fourth quarter of 2013. This is mainly the result of an increase in the volatility of the Telekom Austria Groups share price in the first half of 2014. This volatility caused a rise in the beta used for discounted cash flow valuation of Telekom Austria Groups business plan. The Bulgarian segment was the only Group segment where the increase in WACC resulted in the need for an impairment as according to IFRS rules. In addition, changed medium-term macroeconomic expectations also result in changed expectations for the entire Bulgarian telecoms market and the development of Mobiltel. The impairment will be reflected in the consolidated financial statements of Telekom Austria Group for the first half of 2014 and will negatively impact net income and equity. As changes to the business plan primarily impact medium-term expectations for the Bulgarian segment, the company reiterated its outlook for 2014 despite the impairment: group revenue decline of approximately 3%, CAPEX of approximately EUR 700 million.
