The Timken Company engineers, manufactures, and markets mechanical components, bearings, and engineered steel bars and tubes worldwide. It operates through four segments: Mobile Industries, Process Industries, Aerospace, and Steel. The Mobile Industries segment provides bearings, mechanical power transmission components, drive-chains, roller-chains, augers, and related products and services to original equipment manufacturers (OEMs) and suppliers of passenger cars; light trucks; medium and heavy-duty trucks; rail cars; locomotives; and agricultural, construction, and mining equipment, as well as is engaged in aftermarket distribution operations for automotive and heavy truck applications. The Process Industries segment offers bearings, mechanical power transmission components, industrial chains, augers, and related products and services to OEMs and suppliers of power transmission, energy, and heavy industrial market sectors; and is involved in aftermarket distribution operations. The Aerospace segment provides bearings, helicopter transmission systems, rotor head assemblies, turbine engine components, gears, and other precision flight-critical components for commercial and military aviation applications; and offers aftermarket services, such as repair and overhaul of engines, transmissions, and fuel controls, as well as aerospace bearing repair and component reconditioning. This segment also sells precision bearings and related products for health and critical motion control applications. The Steel segment manufactures alloy steel, and carbon and micro-alloy steel comprising bars and seamless mechanical tubing; and supplies machining and thermal treatment services, as well as manages raw material recycling programs. It also produces precision steel components for automotive and industrial customers. The company sells its products through its sales organizations and authorized distributors. The Timken Company was founded in 1899 and is headquartered in Canton, Ohio.

Timken Signs Joint Venture Agreement with United Wagon Company to Strengthen Presence in Key Rail Market

The Timken Company has entered into an agreement with United Wagon Company to establish a joint venture (JV) to manufacture Timken(R) AP-2(TM) rail bearings in Russia. The JV will advance the safety, reliability and efficiency of the local rail industry, equipping customers' freight cars with premium Timken bearings. The JV is contingent upon various regulatory approvals and other commercial and customary conditions. As part of the agreement, Timken and UWC will establish dedicated manufacturing capacity, with construction expected to start within the next several months. This JV expands upon an established relationship between the two companies, which was formalized in 2013 with a strategic partnership agreement covering technical and design support and an initial supply of Timken AP-2 bearings to UWC. The agreement provides both companies a strategic opportunity to capitalize on a surge in demand as the industry advances from using cylindrical roller bearings on freight car axles to the more efficient, reliable cartridge tapered roller bearing Timken originally designed for the rail industry.

European Bearing Corporation and Timken Sign Joint Venture Agreement

The Timken Company has established a joint venture with European Bearing Corporation aimed at serving industrial markets in Russia and the broader Commonwealth of Independent States (CIS). The JV will leverage EPK's position as a leading domestic manufacturer in Russia and the CIS with The Timken Company's strength as a key global bearing designer and manufacturer. The JV, which is contingent upon various regulatory approvals and other customary conditions, will operate as EPK-Timken Bearing Company. As part of the JV, Timken and EPK expect to present a consolidated approach to the marketplace, with plans to combine their industrial sales teams in that area and build a new manufacturing facility in a yet-to-be named location to produce large bore industrial bearings. Construction is expected to start in 2015, with production commencing 24 to 36 months thereafter. In driving its strategy to grow around the world and diversify its product portfolio, Timken has entered into agreements with strategic partners with the particular goal of enhancing the company's presence and market position in important emerging economies.
