Varca Ventures, Inc. announced that it has filed Form 15 with the Securities and Exchange Commission to voluntarily deregister its Common Stock of par value $0.0001 per share under the Securities Exchange Act of 1934, as amended.
On September 18, 2012, Varca Ventures, Inc. and Wildcat Mining Corp. entered into a letter agreement with Sarasota Varca II, LLC to amend the terms of that certain $600,000 loan from Lender to Varca. Pursuant to the letter agreement, Lender's option to convert any balloon payment of outstanding principal and all accrued and unpaid interest into shares of company's common stock at $0.25 per share was adjusted to $0.10 per share in exchange for certain services and accommodations to be made by Lender.
Varca Ventures, Inc. has been deleted from OTC Bulletin Board (OTCBB) effective July 30, 2012 on account of ineligibility for quotation on OTCBB due to quoting inactivity under SEC Rule 15c2-11.
