The company's Waters division designs, manufactures, sells, and services high performance liquid chromatography, ultra performance liquid chromatography, and mass spectrometry technology systems and support products, including chromatography columns, other consumable products, and post-warranty service plans. This segment’s products are used to detect, identify, monitor, and measure the chemical, physical, and biological composition of materials, as well as to purify a range of compounds. Its products are also used in drug discovery and development, including clinical trial testing, the analysis of proteins in disease processes, nutritional safety analysis, and environmental testing. Its TA division offers thermal analysis, rheometry, and calorimetry instruments, which are used in predicting the suitability of fine chemicals, pharmaceuticals, water, polymers, and viscous liquids for uses in various industrial, consumer goods, and healthcare products, as well as for life science research. The company also develops and supplies software-based products that interface with its instruments. Its products are used by pharmaceutical, life science, biochemical, industrial, nutritional safety, environmental, academic, and governmental customers working in research and development, quality assurance, and other laboratory applications. Waters Corporation was founded in 1958 and is based in Milford, Massachusetts.

Waters Corporation and Chinese Pharmacopeia Commission Sign Joint Open Laboratory Cooperation Agreement

Waters Corporation announced an agreement with the Chinese Pharmacopoeia Commission (ChP) to establish a Joint Open Laboratory. Both the ChP and Waters(R) expect the laboratory to become one of the national technical support centers in the field of Chinese pharmaceutical standards. At the collaboration agreement signing ceremony in Beijing, Secretary General Zhang Wei of the ChP pointed out that "the ChP-Waters Joint Open Laboratory cooperation would become another milestone of the development of the ChP. Located in the laboratory building of Beijing Zhendong Guangming Drug Research Institute, the new Joint Open Laboratory is more than 400 square meters (more than 1,300 square feet).

Waters Corporation Enters into Note Purchase Agreement

On June 30, 2014, Waters Corporation entered into a Note Purchase Agreement among the company and the institutional accredited investors named therein (Agreement) pursuant to which the company issued and sold in a private placement notes (the Senior Notes) in the aggregate principal amount of $200 million. The company issued and sold the following Senior Notes: Series F Senior Notes in the amount of $100 million bearing interest at a fixed rate of 3.40% and maturing on June 30, 2021; Series G Senior Notes in the amount of $50 million bearing interest at a fixed rate of 3.92% and maturing on June 30, 2024; and Series H Floating Rate Senior Notes in the amount of $50 million bearing interest at 3 month LIBOR for that Floating Rate Interest Period plus 1.25% (125 basis points), maturing on June 30, 2024; The company intends to use the proceeds from the issuance of the Senior Notes to repay other outstanding debt and for general corporate purposes. Interest on the Series F and G Senior Notes is payable semi-annually on June 30 and December 30 of each year. Interest on the Series H Floating Rate Senior Notes is payable quarterly on June 30, September 30, December 30 and March 30 of each year. The company may prepay some or all of the Senior Notes at any time in an amount not less than 10% of the aggregate principal amount of the Senior Notes then outstanding, plus the applicable make-whole amount for Series F and G Senior Notes and the applicable, prepayment premium for Series H Senior Notes in years 1 and 2, in each case, upon no more than 60 nor less than 30 days' written notice to the holders of the Senior Notes. In the event of a change in control (as defined in the Agreement) of the Company, the company may be required to prepay the Senior Notes at a price equal to 100% of the principal amount thereof, plus accrued and unpaid interest.
