Windstream Holdings, Inc. provides communications and technology solutions in the United States. The company offers managed services and cloud computing services to businesses, as well as broadband, voice, and video services to consumers primarily in rural markets. Its primary business service offerings include integrated voice and data services, multi-site networking, data center services, managed services, high-speed Internet, voice services, and carrier services. The company also sells and leases communications equipment systems customized to business customers’ needs, as well as offers maintenance plans to support these systems. In addition, it provides consumer broadband services consisting of high-speed Internet access, Internet security services, and online backup services; and consumer voice services consisting of basic local telephone services, long-distance services, and features, including call waiting, caller identification, call forwarding, and others. Further, the company offers consumer video services; owns and operates cable television franchises; and provides switched access services to long-distance companies and other local exchange carriers for access to network. Additionally, it sells home phones to support voice services, as well as equipment to support high-speed Internet and voice offerings, including broadband modems, home networking gateways, and personal computers. As of December 31, 2013, the company operated a network of approximately 118,000 of fiber optic plant in fiber backbone and local service areas, as well as 26 data centers. Windstream Holdings, Inc. is based in Little Rock, Arkansas.

Windstream announced that Chief Operating Officer Brent Whittington is resigning effective Sept. 1. The company also announced that it will eliminate the chief operating officer position after Whittington's departure and assign the duties principally between Mark Faris, executive vice president of operations, and Randy Nicklas, executive vice president of engineering and chief technology officer. Faris and Nicklas will report directly to President and CEO Jeff Gardner. Whittington was named chief operating officer in August 2009. He served as executive vice president and chief financial officer of the company from December 2005 to August 2009. He previously served as senior vice president of operations for Alltel Corp.

Windstream Holdings, Inc. reported unaudited consolidated earnings results for the second quarter and six months ended June 30, 2014. The company reported total revenues and sales of $1.47 billion and net income of $14 million, or 2 cents per basic and diluted share. That compares to total revenues and sales of $1.50 billion and net income of $40 million, or 6 cents per basic and diluted share, during the same period in 2013. Operating income was $167.2 million, compared to $227.0 million for the last year. Income from continuing operations before income taxes was $24.0 million, compared to $63.3 million for the last year. Income from continuing operations was $14.0 million, compared to $39.3 million for the last year. Adjusted OIBDA was $543.4 million, compared to $581.4 million for the last year. Adjusted capital expenditure was $205.8 million, compared to $220.5 million for the last year. Net cash provided from operations was $361.8 million, compared to $408.0 million for the last year. Capital expenditures under GAAP was $205.8 million, compared to $228.7 million for the last year. For the six months, total revenue and sales was $2,930.9 million, compared to $2,998.2 million for the last year. Operating income was $335.0 million, compared to $462.9 million for the last year. Income from continuing operations before income taxes was $50.8 million, compared to $118.8 million for the last year. Income from continuing operations was $30.0 million, compared to $91.3 million for the last year. Net income was $30.0 million, compared to $92.0 million for the last year. Basic and diluted EOS was $0.05 compared to $0.15 for the last year. Adjusted OIBDA was $1,083.8 million, compared to $1,167.7 million for the last year. Adjusted capital expenditure was $358.8 million, compared to $454.4 million for the last year. Net cash provided from operations was $681.6 million, compared to $712.6 million for the last year. Capital expenditure under GAAP was $358.8 million, compared to $472.2 million for the last year. The company also affirmed its previously provided financial guidance for 2014. Guidance includes total revenue for the year within a range of a 2.5% decline to a 1% increase as compared to 2013 revenue; adjusted capital expenditures ranging from $800 million to $850 million, and adjusted free cash flow of $775 million to $885 million, resulting in a dividend payout ratio ranging from 68% to 78% for the year. Additionally, the company finds opportunities to improve cash taxes, which now expects to be less than $15 million in 2014. The company expects wholesale revenue to decline 8% to 9% this year. The company expects CapEx to be at the low end of this range due to fewer-than-expected fiber-to-the-tower builds this year.
