WMI Holdings Corp. announced that on April 1, 2013, its board of directors approved an amendment to the amended and restated Bylaws of the company which amendment became effective on April 1, 2013 upon adoption by the board. The amendment adds a new Section 2.13 to the Bylaws and provides for a procedure, including timely advance notice, for submitting shareholder nominations of persons for election to the board and proposals of business to be transacted by shareholders at an annual meeting of shareholders.
On March 26, 2013, PPM America Inc. notified WMI Holdings Corp. (the 'Trust') that PPMA’s representatives on the Trust’s Trust Advisory Board would be resigning effective immediately. PPMA’s representatives, Joel Klein and James Leda, also represented PPMA on the Trust’s Litigation Subcommittee (the 'Litigation Subcommittee'). The decision of PPMA’s representatives to resign was not the result of any disagreement with other members of the TAB, the Litigation Subcommittee, the Liquidating Trustee or any Trust Professionals.
WMI Holdings Corp. is looking for acquisition opportunities. WMI has emerged from bankruptcy and has hired Blackstone Advisory Partners LP to advise it as it is considering buying companies or starting up businesses itself. Michael Willingham, WMI's Chairman of the Board of Directors, stated, "Having successfully emerged from bankruptcy, WMI Holdings has substantial cash and access to a $125 million credit facility to support a growth strategy through acquisitions and organic initiatives. We look forward to working with Blackstone to evaluate and pursue such opportunities."
