American Water Works Company, Inc., through its subsidiaries, operates as a water and wastewater utility company in the United States. The company provides drinking water, wastewater, and other water-related services to approximately 14 million people in approximately 40 states and 2 Canadian provinces. Segments The company operates through two segments, Regulated Businesses and Market-Based Operations. Regulated Businesses segment This segment’s primary business involves the ownership of subsidiaries that provide water and wastewater utility services to residential, commercial, industrial, and other customers, including sale for resale and public authority customers. The company’s subsidiaries that provide these services are subject to economic regulation by certain state commissions or other entities engaged in economic regulation, hereafter referred to as ‘PUCs,’ in the states in which they operate. Ohio American Water serves approximately 58,000 customers. The company owns 11 regulated water systems and 48 wastewater systems in Missouri. The Missouri acquisition adds approximately 1,700 water customers and approximately 2,000 wastewater customers. The Texas assets serve approximately 4,200 water and 1,100 wastewater customers in the greater Houston metropolitan area. This segment operates in approximately 1,500 communities in 16 states in the United States. The company’s primary operating assets include 87 dams along with approximately 80 surface water treatment plants, 500 groundwater treatment plants, 1,000 groundwater wells, 100 wastewater treatment facilities, 1,200 treated water storage facilities, 1,300 pumping stations, and 47,000 miles of mains and collection pipes. Customers The company serves commercial customers, such as shops and businesses; industrial customers, such as large-scale manufacturing and production operations; and public authorities, such as government buildings and other public sector facilities, including schools. It also supplies water to public fire hydrants for firefighting purposes, to private fire customers for use in fire suppression systems in office buildings and other facilities, as well as providing bulk water supplies to other water utilities for distribution to their own customers. Seasonality The company’s water systems experience higher demand in the summer due to the warmer temperatures and increased usage by customers for lawn irrigation and other outdoor uses. Environmental, Health and Safety, and Water Quality Regulation The company is subject to certain regulations regarding fire protection services in the areas that it serves. These regulations include the Safe Drinking Water Act, the Clean Water Act, and other federal, state, local, and Canadian laws and regulations governing the provision of water and wastewater services, particularly with respect to the quality of water that it distributes. In addition to requirements applicable to the company’s wastewater collection systems, its operations require discharge permits under the National Pollutant Discharge Elimination System permit program established under the Clean Water Act. Its facilities and operations are also subject to requirements under the United States Occupational Safety and Health Act and are subject to inspections thereunder. Competition This segment’s major competitors include Aqua America Inc.; United Water (owned by Suez Environnement); American States Water Co.; and California Water Services Group. Market-Based Operations segment This segment provides services that are not subject to economic regulation by state PUCs. This segment includes three lines of business: Contract Operations Group The company’s Contract Operations Group enters into public/private partnerships, including operations and maintenance, and design, build and operate contracts for the provision of services to water and wastewater facilities for the United States military, municipalities, the food and beverage industry, and other customers.
