Cinemark Holdings, Inc. operates in the motion picture exhibition industry, with theatres in the United States, Brazil, Argentina, Chile, Colombia, Peru, Ecuador, Honduras, El Salvador, Nicaragua, Costa Rica, Panama and Guatemala. The company also managed additional theatres in the United States, Brazil and Colombia, as of December 31, 2013. As of December 31, 2013, the company operated 482 theatres and 5,563 screens in the U.S. and Latin America and approximately 276.6 million patrons attended its theatres worldwide during the year ended December 31, 2013. As of December 31, 2013, the company’s U.S. circuit had 334 theatres and 4,457 screens in 40 states and its Latin America circuit had 148 theatres and 1,106 screens. The company builds or acquires new theatres in markets where it can establish and maintain a market position. During 2013, the company acquired a total of 32 theatres with 483 screens from Rave Real Property Holdco, LLC and certain of its subsidiaries. The company develops new platforms and markets adaptive concepts for its domestic theatre circuit, including NextGen, CinèArts, Cinemark Movie Bistro, VIP and other premium concepts. In its domestic markets, the company’s theatres are part of the in-theatre digital network operated by National CineMedia, LLC, or NCM. NCM provides advertising to its theatres through its branded First Look pre-feature entertainment program and also handles lobby promotions and displays. In its other international markets, the company outsources its screen advertising to local companies who have established relationships with local advertisers. Strategy Key components of the company’s strategy include seeking growth opportunities by building or acquiring high-quality theatres that meet its strategic, financial and demographic criteria; and commitment to technological innovation. Seasonality The most successful motion pictures have been released during the summer, extending from May to July, and during the holiday season, extending from early November through year-end. The unexpected emergence of a hit film during other periods can alter this seasonality trend. The timing of such film releases can have a significant effect on its results of operations, and the results of one quarter are not necessarily indicative of results for the next quarter or for the same period in the following year. Significant Events In June 2014, Cinemark Holdings Inc. announced the opening of a new 10-screen, all-digital movie theatre featuring the new Cinemark NextGen cinema design concept in West Valley City, UT. In July 2014, Rouse Properties reported it has entered into a lease agreement with Cinemark Holdings to open a 12-screen, all-digital theatre featuring Cinemark's NextGen cinema design concept and XD auditorium at Southland Center, a shopping center serving Southern Wayne County, Michigan. Cinemark Holdings Inc. announced that it opened a new 15-screen, all-digital movie theatre featuring the new Cinemark Reserve Level in Towson, Maryland on July 10, 2014. Competition The company’s primary U.S. competitors include Regal, AMC and Carmike Cinemas, Inc. and its primary international competitors, which vary by country, include GSR, Cinepolis, Village Theatres, and Cinemundo. Regulations The company is subject to various general regulations applicable to its operations including the Americans with Disabilities Act of 1990.
