EnerNOC, Inc. provides energy intelligence software (EIS) and related solutions. The company offers utility and grid operator customers with two demand response solutions. Energy Intelligence Software and Solutions EnerNOC Demand Resource and Demand Manager, collectively referred to as EnerNOC DemandSMART The company is engaged in the development, implementation and broader adoption of technology-enabled demand response solutions. Both EnerNOC Demand Resource and EnerNOC Demand Manager are built on a technology platform that enables the company to send control signals to, and receive bi-directional communications from, an Internet-enabled network of broadly dispersed C&I customer sites in order to initiate, monitor and complete demand response activity. The devices that the company installs at its C&I customer sites transmit to the company via the cellular network and Internet near real-time electrical consumption data on a 1-minute, 5-minute, 15-minute or hourly basis. The company’s application platform analyzes the data from individual sites and aggregates data for specific regions. The company’s one-click curtailment activation sends signals to all C&I customer sites in the targeted geography where the event is occurring. Upon activation, the EnerNOC platform, which receives near real-time data from each C&I customer site, is able to determine on a near real-time basis whether the location is performing as expected. EnerNOC Demand Resource and EnerNOC Demand Manager are designed to address the needs of electric power grid operators and utilities across three different types of demand response programs: reliability-based demand response, price-based demand response, and short-term reserve resources referred to in the electric power industry as ancillary services. Reliability-Based Demand Response: When the company receives a signal from an electric power grid operator or utility customer, which the company refers to as a dispatch signal, its DemandSMART application automatically notifies its C&I customers that a demand reduction is needed and initiates processes that reduce electrical consumption by its C&I customers in the targeted area. When the company is called to implement a demand reduction, the company typically receives an additional payment, which the company shares with its C&I customers, for the energy that the company reduces. The company refers to this as an energy payment. The company provides its EnerNOC Demand Resource to ISO New England, Inc. (ISO-NE), PJM Interconnection (PJM), Southern California Edison Company, Tennessee Valley Authority, Australian Independent Market Operator Wholesale Electricity Market and Ontario Power Authority (OPA), among others. Price-Based Demand Response: The company’s price-based EnerNOC Demand Resource enables C&I customers to monitor and respond to wholesale electricity market price signals when it is cost-effective for them to do so. The company’s C&I customers use its DemandSMART application to register a ‘strike price’ above which it may be economical for that customer to reduce its consumption of electricity. The company participates in price-based demand response programs in the Mid-Atlantic and New England regions. Ancillary Services: This service is called upon by electric power grid operators and utilities during short-term contingency events, such as the loss of a transmission line or large power plant. The company provides its EnerNOC Demand Resource to electric power grid operators and utilities under long-term contracts and pursuant to open market bidding programs. The company’s long-term contracts have terms of 3 to 10 years and predetermined capacity commitment and payment levels. The company’s EnerNOC Demand Manager is its Software-as-a-Service solution that allows utilities to license its software and receive other professional services to help manage utility-sponsored demand response programs.
