The company’s principal business consists of attracting deposits from the general public and investing those funds, along with borrowed funds, in loans secured primarily by first and second mortgages on one- to four-family residences, including home equity loans and construction and land/lot loans, commercial real estate loans, construction and development loans, and municipal leases. Market Areas As of June 30, 2013, the company had 20 banking offices in Western North Carolina and the ‘Piedmont’ region of North Carolina. Through its seven banking divisions, it operates in nine counties in North Carolina, three of which, Buncombe, Haywood and Henderson counties, are located in the Asheville, North Carolina, metropolitan area. Lending Activities Retail Consumer Loans One-to Four-Family Real Estate Lending: The company originates loans secured by first mortgages on one-to four-family residences for the purchase or refinance of owner-occupied primary or secondary residences located primarily in its market areas. It originates one-to four-family residential mortgage loans primarily through referrals from real estate agents, builders, and from existing customers. The company originates both fixed-rate loans and adjustable-rate loans. Home Equity Lines of Credit: The company’s home equity loans include adjustable-rate lines of credit. Construction and Land/Lots: The company originates construction to permanent loans to homeowners building a residence. In addition, it originates land/lot loans primarily for the purchase or refinance of an improved lot for the construction of a residence to be occupied by the borrower. All of its construction and land/lot loans are made on properties located in North Carolina. The company also offers loans for the purchase or refinance of unimproved land that is less than or equal to 5 acres, and for which the purpose is to commence the improvement of the land and construction of an owner-occupied primary or secondary residence within 1 year from the date of loan origination. Consumer Lending: The company’s consumer loans consist principally of loans secured by savings deposits. It also originates automobile loans and other consumer loans. Commercial Loans Commercial Real Estate Lending: The company originates commercial real estate loans, including loans secured by hotels, office space, office/warehouse, retail strip centers, vehicle dealerships, mini-storage facilities, medical and professional buildings, retail sites, and churches located in its market areas. It offers both fixed and adjustable rate commercial real estate loans. Its commercial real estate mortgage loans include a balloon maturity of five years or less. Construction and Development Lending: The company’s construction and development loans are primarily for the purchase or refinance of unimproved land held for future residential development, improved residential lots held for speculative investment purposes and for the future construction of speculative one-to-four-family or commercial real estate. It also originates construction loans for the development of business properties and multi-family dwellings. All of its construction and development loans are made on properties located in North Carolina. Land acquisition and development loans are included in the construction and development loan portfolio, and represent loans made to developers for the purpose of acquiring raw land and/or for the subsequent development and sale of residential lots. The company has made construction loans for commercial development projects. These projects include multi-family, apartment, retail, office/warehouse, and office buildings. Commercial and Industrial Loans: The company offers commercial and industrial loans to small businesses located in its primary market areas. These loans are primarily originated as conventional loans to business borrowers, which include lines of credit, term loans, and letters of credit.
