The company operates as a subsidiary of Delfin S.à r.l. Segments The company operates in two industry segments, Manufacturing and Wholesale Distribution, and Retail Distribution. Manufacturing and Wholesale Distribution segment This segment engages in the design, manufacturing, wholesale distribution, and marketing of proprietary brands and designer lines of mid- to premium-priced prescription frames and sunglasses, as well as of performance optics products. Its wholesale distribution network covers approximately 130 countries across 5 continents and has approximately 50 commercial subsidiaries providing direct operations in key markets. The company’s wholesale distribution structure covers approximately 130 countries, with 50 directly controlled or majority owned operations in the major markets and approximately 100 independent distributors in other markets. Each wholesale subsidiary operates its own network of sales representatives who are normally retained on a commission basis. Customers of its wholesale business are mostly retailers of mid- to premium-priced eyewear, such as independent opticians, optical retail chains, specialty sun retailers, department stores and duty-free shops. The company’s brand, Oakley, is distributed to sporting goods stores and specialty sports stores, including bike, surf, snow, skate, golf, and motor sports stores. Retail Distribution segment This segment principally operates through its retail brands, which include LensCrafters, Sunglass Hut (including those in host stores), Pearle Vision, ILORI, The Optical Shop of Aspen, GMO, OPSM, Laubman & Pank, Oakley ‘O’ Stores and Vaults, and David Clulow; and its retail Licensed Brands, such as Sears Optical and Target Optical. As of December 31, 2013, this segment owned and operated 6,472 retail locations worldwide and franchised an additional 579 locations principally through its subsidiaries. The company’s retail business owns various chains, including Sunglass Hut, a major retailer of premium sunglasses; OPSM Group, a major optical retailer in Australia and New Zealand; Cole National Corporation, which brought with it another primary optical retail chain in North America; Pearle Vision; and a retail store business (Target Optical and Sears Optical). The company’s retail expansion is into China, the Middle East, South Africa, Thailand, India, the Philippines, Mexico, Brazil, and the Mediterranean Europe. The company started its optical retail expansion in Latin America by completing the acquisition of Multiópticas Internacional S.L., a primary retailer in Chile, Peru, Ecuador, and Colombia operating under the Opticas GMO, Econópticas, and Sun Planet retail brands. In North America, the company operates points of sale for its retail licensed brands under the Sears Optical and Target Optical brands. In addition, the company is a managed vision care operator in the United States, through EyeMed; and operates as lens finisher, having a network of 4 central laboratories in North America, approximately 900 on-site labs at LensCrafters stores, and an Oakley lab plus an additional facility based in China dedicated to North American optical retail. The company has a sun and luxury retail organization to support and reinforce its retail brands dedicated to sun and luxury eyewear, including the Sunglass Hut, ILORI and The Optical Shop of Aspen brands. Its Oakley brand provides a wholesale and retail (O Stores) presence in both the performance optics and the sport channels. In O Store locations, the company offers a variety of Oakley-branded products in addition to Oakley eyewear styles. Its Oakley-branded products include apparel, footwear, backpacks and accessories designed for surf, snow, golf and other active lifestyles.
