Oak Ridge Micro-Energy, Inc., a development stage company, develops and commercializes the rechargeable thin-film lithium batteries. The company engages in two lines of business in two separate and distinct industries: the licensing, development and marketing of thin-film battery technology; and REDD (Reduced Emissions from forest Degradation and deforestation) Carbon Credit forestry projects. Thin-Film Batteries The company licenses thin-film, solid-state batteries for industrial, government and medical applications. Its thin-film battery is rechargeable, lithium-based and the active battery layers are significantly thinner than common plastic wrap. The company’s batteries are intended for applications, such as wireless smart sensors that operate in harsh environments, security cards, radio frequency identification (RFID) tags, semiconductor non-volatile memory chips and implantable medical devices. Reduced Emissions from forest Degradation and deforestation REDD is a financial and carbon trading mechanism that creates an incentive for developing countries to protect, manage, and use their forest resources. A carbon offset is created for the reduction of emissions of carbon dioxide to compensate for an emission elsewhere. The two principal markets for these carbon offsets are the United Nation’s Kyoto Potocol and the EU Emission Trading Scheme, both of which are primarily utilized in the compliance market, by companies, governments and others, to buy carbon offsets in order to comply with caps on carbon dioxide emissions. Patents and Trademarks Thin-Film Batteries: The company’s issued and pending patents, excluding proprietary information, include the following: Thin Film Battery and Electrolyte Therefor; Long Life Thin Film Battery and Method Therefor; Getters for Thin Film Battery Hermetic Package; and Thin Film Batteries for Low-Voltage Applications. Regulations Exchange Act: The company is subject to the following regulations of the Securities Exchange Act of 1934, as amended, and applicable securities laws, rules and regulations promulgated under the Exchange Act by the Securities and Exchange Commission. Smaller Reporting Company: The company is subject to the reporting requirements of Section 13 of the Exchange Act, and subject to the disclosure requirements of Regulation S-K of the SEC, as a ‘smaller reporting company’. Sarbanes/Oxley Act: The company is also subject to the Sarbanes-Oxley Act of 2002.
