The company, through its subsidiaries and affiliates, offers a range of financial products and services, including life insurance, annuities, retirement-related services, mutual funds, and investment management. It offers these products and services to individual and institutional customers through proprietary and third party distribution networks. The company’s investment portfolio consists of public and private fixed maturity securities, commercial mortgage and other loans, equity securities, and other invested assets. Businesses The businesses of the company are separated into the Financial Services Businesses and the Closed Block Business. Financial Services Businesses The Financial Services Businesses include three divisions: U.S. Retirement Solutions and Investment Management; U.S. Individual Life and Group Insurance; and International Insurance divisions containing six segments. U.S. Retirement Solutions and Investment Management Division The U.S. Retirement Solutions and Investment Management division conducts its business through the Individual Annuities, Retirement, and Asset Management segments. Individual Annuities The company’s Individual Annuities segment manufactures and distributes individual variable and fixed annuity products, primarily to the U.S. mass affluent market. Products: The company offers variable annuities that provide its customers with tax-deferred asset accumulation together with a base death benefit and a suite of optional guaranteed death and living benefits and annuitization options. The majority of its sold contracts include an optional living benefit guarantee, which provides the ability to make withdrawals based on the highest daily contract value plus a minimum return, credited for a period of time. Certain optional living benefits could also be purchased with a companion optional death benefit, also based on a highest daily contract value. In 2013, the company launched the Prudential Defined Income Variable Annuity (PDI) to complement the variable annuity products that the company offers with the daily benefit, which provides for guaranteed lifetime contractholder withdrawal payments. In addition, certain inforce contracts include guaranteed benefits, which are not offered, such as annuitization benefits based on a guaranteed notional amount and benefits payable at specified dates after the accumulation period. Majority contracts also guarantee the contractholder a return of total deposits made to the contract less any partial withdrawals upon death. Excluding the company’s new PDI product, the majority of its variable annuities provide its contractholders with the opportunity to allocate purchase payments to sub-accounts that invest in underlying proprietary and non-proprietary mutual funds, frequently under asset allocation programs, and fixed-rate accounts. The company also offers fixed annuities that provide a guarantee of principal and interest credited at rates it determines, subject to certain contractual minimums. Certain investments made in the fixed-rate accounts of its variable annuities and certain fixed annuities impose a market value adjustment if the invested amount is not held to maturity. Marketing and Distribution: The company’s annuity products are distributed through a group of third-party broker-dealers and their representatives, in banks, wirehouses, and through independent financial planners. Additionally, its variable annuity products are distributed through insurance agents, including prudential agents and the agency distribution force of The Allstate Corporation. The company’s distribution efforts were supported by a network of 290 internal and external wholesalers as of December 31, 2013.
