(KOSE:A031860) signed a merger agreement to acquire the remaining 80% stake in TES Co.,Ltd. from Si-Cheon Yeom, Chang-Gi Eun, Jong-Il Sin and Heung-Sik Lee for KRW 1.7 billion in stock on February 15, 2013. Under the transaction, Si-Cheon Yeom will sell 30% stake, Chang-Gi Eun will sell 27% stake, Jong-Il Sin will sell 15% stake and Heung-Sik Lee an 8% stake in TES Co.,Ltd. A-motion Co.,Ltd. will issue 0.98 million shares for TES Co.,Ltd.'s 80% sake ... with a merger ratio of 20.4112556. For the period ending December 2012, TES Co.,Ltd. reported total assets of KRW 5.71 billion, total liabilities KRW 2.98 billion and total stockholders' equity of KRW 2.74 billion. Post transaction, TES Co.,Ltd. will be dissolved and A-motion Co.,Ltd. will be the surviving entity. The transaction has been resolved by Board of Directors of A-motion Co.,Ltd. The transaction is subject to Board of Directors approval. The transaction is expected to close on April 23, 2013.
