NTT Docomo, Inc. (TSE:9437) made an offer to acquire 75.14% stake in Magaseek Corporation (TSE:3060) from ITOCHU Corporation (TSE:8001) and other shareholders for ¥2.2 billion in cash on January 30, 2013. NTT Docomo will pay ¥0.14 million for each share of Magaseek. The tender offer will commence from January 31 to March 14, 2013. The start date of settlement is March 21, 2013. NTT Docomo has entered into a tender agreement with ITOCHU under which ITOCHU will tender ... 8342 shares of the 13640 shares of Magaseek that it holds. ITOCHU will retain the remaining shares. The transaction is subject to a minimum of 8829 shares being tendered. SMBC Nikko Securities, Inc. and Mizuho Securities Co., Ltd. have been engaged by NTT, Magaseek and ITOCHU to prepare a share evaluation report. Mori, Hamada & Matsumoto acted as legal advisor for Magaseek. GCA Savvian Group Corporation acted as financial advisor for ITOCHU.
