ABB Ltd. (SWX:ABBN) agreed to acquire Power-One Inc. (NasdaqGS:PWER) from Stephens Capital Partners, Security Investors, LLC, Silver Lake, its fund Silver Lake Sumeru, L.P. and other shareholders for approximately $780 million on April 21, 2013. ABB will acquire Power-One at $6.35 per share, which includes Power-One’s net cash of $266 million. Also, ABB will acquire 0.04 million shares of Series C Preferred Stock of Power-One with offer per share of $4703.7 in cash. ... ABB will finance the transaction out of its own funds. Power-One may be obligated to pay ABB a termination fee of $20 million. The transaction is subject to the satisfaction of customary closing conditions, including approval of Power One's shareholders at a special meeting and receipt of customary regulatory approvals. Consummation of the merger is subject to other customary closing conditions, including the receipt by ABB of all requisite antitrust approvals and the absence of any government order or other legal restraint prohibiting the merger. Power-One’s Board of Directors has unanimously approved the merger agreement. The transaction is expected to close in the second half of 2013. The transaction is expected to be accretive in year one.
