The shareholders of Absa Group Ltd. (JSE:ASA) authorized a share repurchase program at its Annual General Meeting on May 2, 2013. Under the program the company expects to repurchase up to 10% its own shares. Any such acquisition of ordinary shares shall be implemented on the open market of the JSE. In determining the price at which ordinary shares issued by the company are acquired by it in terms of this general authority, the maximum premium at which such ordinary shares ... may be acquired will be 10% of the volume weighted average price at which such ordinary shares are traded on the JSE, as determined over the five trading days immediately preceding the date of repurchase of such ordinary shares by the company. Repurchase of shares must be effected through the order book operated by the JSE trading system and done without any prior understanding or arrangement between the company and the counter-party. At any point in time, the company may only appoint one agent to effect any repurchase. Repurchases may not be made by the company and/or its subsidiaries during a prohibited period as defined by the JSE Listings. Requirements unless a repurchase program is in place where the dates and quantities of securities to be traded during the relevant period are fixed and full details of the program have been disclosed in an announcement over SENS prior to the commencement of the prohibited period. The company may not enter the market to proceed with the repurchase of its ordinary shares until the company’s sponsor has discharged its duties with regard to the adequacy of the company’s working capital for the purpose of undertaking a repurchase of securities in writing to the JSE. Standard Chartered PLC (LSE:STAN) agreed to acquire custody and trustee business in South Africa from Absa Group Limited (JSE:ASA) on April 18, 2013. The transaction is subject to regulatory approvals and other customary conditions. The transaction is expected to complete after second half of 2013.
