The shareholders of ASML Holding NV (ENXTAM:ASML) authorized a share repurchase program at its Annual General Meeting on April 24, 2013. Under the plan, the company will repurchase its shares such that its holding in treasury does not exceed 10% of its issued share capital for valuable consideration at a price between, on the one hand, an amount equal to the nominal value of the shares and, on the other hand, an amount equal to 110% of the market price of these shares ... on Euronext Amsterdam or Nasdaq. The market price represents the average of the highest price on each of the five days of trading prior to the date of acquisition, as shown in the Official Price List of Euronext Amsterdam or as reported on Nasdaq. The company will make repurchases on Euronext Amsterdam by NYSE Euronext or the Nasdaq Stock Market LLC or otherwise. The company can also repurchase additional ordinary shares such that its holding in treasury does not exceed 10% of its issued share capital for valuable consideration at same terms and conditions. All the repurchased shares will be either held in treasury or will get cancelled which will not be utilised for covering outstanding employee stock and stock option plans. The plan will be valid for 18 months until October 25, 2014. As of February 13, 2013, the company has approximately 3,000,000 shares in treasury.
