Cardinal Health, Inc. (NYSE:CAH) agreed to acquire AssuraMed Holding, Inc. from Clayton, Dubilier & Rice, Inc., GS Capital Partners VI Fund, L.P., a fund of Goldman Sachs Group, Merchant Banking Division and other investors for $2.1 billion on February 13, 2013. The acquisition will be financed with a combination of $1.3 billion in senior unsecured bridge term loan from BofA Merrill Lynch and the remainder in cash. The base of the AssuraMed's operations will remain in Twinsburg, Ohio. The closing of this transaction is subject to customary closing conditions, including regulatory clearances, expiration or early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act, not more than 5% of the outstanding shares of Common Stock to be dissenting shares and others. The transaction has been approved by the Board of Directors of AssuraMed and Cardinal Health. The necessary AssuraMed shareholder approvals from Clayton, Dubilier, & Rice, LLC and Goldman Sachs have already been obtained. The transaction is expected to close by early April, 2013. Cardinal Health expects accretion of 2c-3c to its existing non-GAAP fiscal 2013 earnings per share guidance range. For fiscal 2014, Cardinal Health estimates non-GAAP EPS accretion of at least 18c per share, including the cost of an incremental 8c-9c per share of interest expense associated with financing the transaction. Cardinal Health expects the amortization of acquisition-related intangible assets, which are excluded from its non-GAAP EPS, to be a significant expense in fiscal 2013 and 2014.
