The shareholders of Carnival plc (LSE:CCL) authorized a share repurchase program at its Annual General Meeting on April 17, 2013. Under the program, the company will repurchase up to 21,546,172 shares, representing 11.80% of the issued share capital. The minimum price that may be paid for each Carnival plc ordinary share is £1.08 ($1.66). The maximum price that may be paid is equal to the higher of 105% of the average middle market quotations for an ordinary share, as ... derived from the London Stock Exchange Daily Official List, for the five business days immediately preceding the day on which such ordinary share is contracted to be purchased and the higher of the price of the last independent trade and the highest current independent bid on the London Stock Exchange at the time the purchase is carried out. The company will generally and unconditionally make market purchases for the purpose of Section 701 of the Companies Act 2006. The company will either hold the shares in treasury or will cancel them. The authority is valid until the next Annual General Meeting in 2014 or on October 16, 2014, whichever is earlier. As of January 18, 2013, the company has 215,461,723 shares.
