Groupe Advens acquired approximately 5% stake in Les Grands Moulins De Strasbourg (ENXTPA:GDMS) from Sofracal for €3 million on December 12, 2012. Moreover, Advens will subscribe, at the latest at the end of February 2013, to a debenture loan of an amount of €2.5 million issued by Sofracal. An earn-out payment of sale at the maximum €0.5 euros would then also be due by Advens if Court of Appeals of Paris would pronounce a reduction of the pecuniary penalties imposed ... by the Competition authority against GMS on March 13, 2012. Groupe Advens also has the option to acquire the remaining balance of Sofracal's stake in Grands Moulins De Strasbourg by September 2014. The entry into force of this second protocol is subject to approval by AMF, the realization by Advens of an audit of the Grands Moulins De Strasbourg; and fund-raising of any restriction on the transferability of Grands Moulins De Strasbourg shares owned by Sofracal.
