The Board of Directors of Garmin Ltd. (NasdaqGS:GRMN) authorized a share repurchase program on February 15, 2013. Under the program, the company will repurchase up to $300 million of its shares. The repurchases may be made at prevailing market prices on the open market or in negotiated transactions in compliance with the SEC’s Rule 10b-18 from time to time. The company views the repurchase program as an appropriate use of cash. The timing and amounts of any repurchases ... will be determined by the Company’s management depending on market conditions and other factors including price, regulatory requirements and capital availability. The program does not require the purchase of any minimum number of shares and may be suspended or discontinued at any time. The share repurchase program is valid until December 31, 2014. On March 14, 2013, the company adopted a Rule 10b5-1 plan in connection with the share repurchase authorization. A plan under Rule 10b5-1 allows a company to repurchase its shares at times when it otherwise might be prevented from doing so under insider trading laws or because of self-imposed trading blackout periods. A broker selected by Garmin will have the authority under the terms and limitations specified in the plan to repurchase shares on the company’s behalf in accordance with the terms of the plan. Because the repurchases under the plan are subject to certain pricing parameters, there is no guarantee as to the exact number of shares that will be repurchased under the plan, or that there will be any repurchases pursuant to the plan.
