Comcast Corporation (NasdaqGS:CMCS.A) entered into an agreement to acquire remaining 49% stake in NBCUniversal Media, LLC from General Electric Company (NYSE:GE) for $16.7 billion on February 12, 2013. In a separate transaction, NBCUniversal will purchase from General Electric the properties used by NBCUniversal at 30 Rockefeller Plaza and CNBC’s headquarters in Englewood Cliffs for approximately $1.4 billion. General Electric will receive approximately $12 billion in ... cash, $4 billion in Comcast guaranteed debt and $0.7 billion of preferred stock in a holding company controlled by Comcast whose sole asset is its interests in NBCUniversal. The transactions will be funded with $11.4 billion of cash on hand, $4 billion of subsidiary senior unsecured notes to be issued to General Electric, $2 billion of borrowings under Comcast and/or subsidiary bank credit facilities and $725 million of subsidiary preferred stock to be issued to General Electric. NBCUniversal posted revenue of $23.8 billion in 2012.
The Boards of Directors of General Electric and Comcast have approved the transaction. The consummation of the transactions is subject to customary closing conditions, but it is not subject to any financing condition. The transaction agreement includes representations and warranties and covenants of each party that are customary for transactions of this nature.
The agreement may be terminated under certain circumstances, including by mutual agreement of Comcast and General Electric and by either party if the transactions have not been consummated on or before March 27, 2013. General Electric does not expect this transaction to materially impact the overall earnings framework for 2013.
