The shareholders of Greggs plc (LSE:GRG) authorized a share repurchase program at its Annual General Meeting on May 15, 2013. Under the program, Greggs will repurchase up to 10,115,590 shares, representing approximately 10% of its issued share capital with a nominal value of up to £0.2 million. The amount paid for each ordinary share (exclusive of expenses) shall not be more than 5% above the average of the middle market quotation for an ordinary share as derived from ... the Daily Official List of London Stock Exchange plc for the five business days before the date on which the contract for the purchase is made and, in any event, not less than the nominal value of each ordinary share. The company will generally and unconditionally make market purchases for the purpose of Section 701 of the Companies Act 2006. The company intends either to cancel the repurchased shares or to hold them in treasury. It is the Directors' intention to exercise the authority to purchase the shares where it would increase the earnings per share of those shares that are not repurchased.
