Juniper Networks, Inc. (NYSE:JNPR) acquired the trade and assets of Webscreen Systems Limited from Accumuli Security Services Limited for £6.3 million on February 4, 2013. Juniper Networks has retained $1 million (£0.63 million) in escrow for 12 months from today against any claim which may arise under these warranties and indemnities. In the year ended March 31, 2012, Webscreen generated earnings before interest, tax, depreciation and amortisation of £0.3 million on ... revenues of £0.9 million. At September 30, 2012 net assets of Webscreen under UK GAAP were £0.6 million. Under the terms of the asset sale agreement between the Group and Juniper Networks, the Group has given certain warranties and indemnities as would be expected in a deal of this type.
