The shareholders of Microgen plc (LSE:MCGN) authorized a share repurchase program at the Annual General Meeting on May 13, 2013. Under the program, the company will repurchase up to 8,158,185 shares, representing 10% of its issued ordinary share capital. The minimum price which may be paid for each ordinary share is 5p and the maximum price which may be paid for each ordinary share is an amount equal to the higher of 105% of the average of the middle market quotations ... for an ordinary share as derived from the London Stock Exchange Daily Official List for the five business days immediately preceding the day on which the company agrees to buy the shares concerned; and the higher of the price of the last independent trade of any ordinary share and the highest current bid for an ordinary share as stipulated by Article 5(1) of Commission Regulation (EC) December 22, 2003 implementing the Market Abuse Directive as regards exemptions for buyback programs and stabilization of financial instruments (2273/2003). If any shares are purchased, then they will be either cancelled or held in treasury. The authority is valid till the next Annual General Meeting or on May 31, 2014, whichever is earlier.
