Micro Focus International plc (LSE:MCRO) signed an agreement to acquire Orbix, Orbacus and Artix software product lines from Progress Software Corp. (NasdaqGS:PRGS) for $15 million in cash on December 24, 2012. The consideration will be funded from Micro Focus’ existing banking facility. Under the terms of agreement, 20 staff currently working on all three products are expected to be transferred to Micro Focus. For the year ending August 31, 2012, Orbix, Orbacus and ... Artix reported revenue of $28 million and profit before tax of $9 million. The deal is subject to certain conditions, primarily relating to transfer of staff and certain contractual consents and is expected to completed by January 21, 2013. Pacific Crest Securities LLC is serving as Progress' financial advisor with respect to the transaction and Wilmer Cutler Pickering Hale and Dorr LLP is serving as Progress' legal advisor.

Metatomix, Inc. entered into an assets purchase agreement to acquire ObjectStore product line from Progress Software Corp. (NasdaqGS:PRGS) on November 30, 2012. As per the deal, the aggregate purchase price paid for the Actional, DataXtend, Savvion, Sonic and ObjectStore product lines was $60.5 million. Trilogy Enterprises, parent company of Metatomix has also purchased the other assets of Progress Software Corp.
