Schroders plc (LSE:SDR) agreed to acquire Cazenove Capital Holdings Limited from David Mayhew, Michael Power, Andrew Ross, Richard Jeffrey, Carolyn Sims and other shareholders for approximately £390 million on March 25, 2013. Under the terms of agreement, Schroders plc will offer £1.35 in cash to shareholders of Cazenove Capital for every share held in Cazenove Capital. The cash consideration payable to Cazenove Capital shareholders will be funded from Schroders' existing ... resources of cash deposits and liquid securities. Cazenove Capital shareholders will also receive the 2012 dividend of £4.75 in cash per ordinary share, which will be paid on May 3, 2013. For the year ending December 31, 2012, Cazenove Capital reported gross assets of £185.9 million, revenue of £111.3 million and profit before tax of £22.4 million. Cazenove Capital Directors intend to recommend unanimously that Cazenove Capital shareholders vote in favour of the acquisition. As of March 22, 2013, Cazenove Capital Directors have irrevocably undertaken to Schroders to vote in favour in respect of their own beneficial holdings of 17.06 million ordinary shares which in aggregate represent approximately 5.9% of Cazenove Capital's issued ordinary share capital. The deal is conditional upon obtaining regulatory clearances from the FSA and the Jersey Financial Services Commission. As of May 17, 2013, shareholders of Cazenove Capital approved the transaction.
