Schulman, Inc. (NasdaqGS:SHLM) made an offer to acquire Ferro Corp. (NYSE:FOE) from Lonestar Capital Management ... LLC and other shareholders for approximately $560 million in cash and stock on March 4, 2013. A. Schulman, Inc. proposed offer price of $6.50 per share which includes an immediate cash payment of $3.25 for each Ferro share outstanding and $3.25 worth of A. Schulman common stock. A. Schulman expects its offer could be adjusted subject to customary due diligence. A. Schulman, Inc. and its Board of Directors continues to encourage the Ferro Corp’s Board to consider the offer. The transaction is expected to be accretive the first year following the acquisition for A. Schulman. As of April 29, 2013, Board of Directors of Ferro, urged its sharehodlers to vote White Proxy Card at the Annual Meeting of Shareholders to be held on May 15, 2013. Goldman Sachs Group Inc acted as financial advisor and Jones Day acted as legal advisor to Ferro Corp. Moelis & Company L.P. acted as financial advisor for A. Schulman, Inc.
