Steris Corp. (NYSE:STE) acquired Mobile Sterile Processing Unit from Mobile Medical International Corporation for $1.2 million in cash on February 1, 2013. Michael Costello and James Dougherty of Jones Day acted as legal advisors for Steris Corp.

Steris Corp. (NYSE:STE) acquired the remaining stake in VTS Medical Systems, Inc. from its joint venture partner for approximately $19 million in cash on December 27, 2012. With the acquisition, VTS Medical Systems, Inc. became a wholly owned subsidiary of Steris Corp. and will be integrated into Steris Corp.'s healthcare segment within the surgical solutions business unit. Tony Kuhel of Thompson Hine LLP acted as legal advisor for Steris.

Steris Corp. (NYSE:STE) announced a private placement of series A senior notes for gross proceeds of $200 million on December 4, 2012. The company will issue series A-1A senior notes for gross proceeds of $47.50 million, series A-2A senior notes for gross proceeds of $40 million, series A-3A senior notes for gross proceeds of $12.50 million, series A-1B senior notes for gross proceeds of $47.50 million, series A-2B senior notes for gross proceeds of $40 million, and ... series A-3B senior notes for gross proceeds of $12.50 million. Series A-1A senior notes carry interest at the rate of 3.20% and will mature on December 4, 2022, series A-2A senior notes carry interest at the rate of 3.35% and will mature on December 4, 2024, series A-3A senior notes carry interest at the rate of 3.55% and will mature on December 4, 2027, series A-1B senior notes carry interest at the rate of 3.20% and will mature on December 4, 2022, series A-2B senior notes carry interest at the rate of 3.35% and will mature on December 4, 2024, and series A-3B senior notes carry interest at the rate of 3.55% and will mature on December 4, 2027. The notes are payable in full together with accrued and unpaid interest at their specified maturities or are payable in whole or in part on such earlier dates as may be required or permitted by the terms of the agreements. Interest on the notes is payable in arrears, beginning in June, 2013 and every 6 months thereafter. Depending on the circumstances, a prepayment penalty may be payable for prepayments made prior to stated maturity. The transaction will see participation from 17 institutional investors. The company’s obligations under the notes are unsecured but guaranteed by certain of its domestic subsidiaries. On the same day the company issued series A-1A senior notes, series A-2A senior notes, and series A-3A senior notes for gross proceeds of $100 million in its first tranche. The second tranche will be completed in early February, 2013 in a deferred take down. In second tranche the company will issue series A-1B senior notes, series A-2B senior notes, and series A-3B senior notes.
