Sensient Technologies Corporation (NYSE:SXT) announced a private placement of senior notes for gross proceeds of $124,137,200 on April 5, 2013. The company will issue senior notes, series D for $75,000,000. The series D notes will carry 3.66% interest. The company will issue senior notes, series E for €38,246,768.26 ($49,137,200). The series E notes will carry 3.06% interest per annum. The interest will be payable semiannually, on May 29 and November 29 in each year ... and on the maturity date of the notes. The notes issued will mature on November 29, 2023. The notes will be issued in denominations of at least $1,000,000. The transaction will include participation from group of financial institutions including, New York Life Insurance Co. for $15,000,000 of series D notes and €6,000,000 ($7,708,440) of series E notes, New York Life Insurance and Annuity Corporation for $22,000,000 of series D notes and €9,298,707.26 ($11,946,400) of series E notes, New York Life Insurance And Annuity Corporation Institutionally Owned Life Insurance Separate Account (BOLI 30C), New York Life Insurance And Annuity Corporation Institutionally Owned Life Insurance Separate Account (BOLI 3-2), and New York Life Insurance And Annuity Corporation Institutionally Owned Life Insurance Separate Account (BOLI 3), managed by New York Life Investment Management LLC, Metropolitan Life Insurance Company, MetLife Alico Life Insurance K.K., and The Prudential Insurance Company of America, Inc for €22,948,061 ($29,482,300) of series E notes. The transaction is expected to close by November 29, 2013. Chapman and Cutler will act as a legal advisor to the investors. Debevoise & Plimpton, LLP will act as a legal advisor to the company.
