The shareholders of Mediaset España Comunicación, SA (CATS:TL5) authorized a share repurchase program at its Annual General Meeting on April 17, 2013. Under the program, the company or any of its subsidiaries will repurchase up to 10% of the share capital provided the number of shares repurchased and the shares held in treasury does not exceed 10% of the share capital. The minimum purchase price of the shares will not be lower than its nominal value and the maximum price ... not greater than 120% of its share price on the purchase date. The shares can be acquired by purchase or by any other inter vivo act for consideration. The company will establish an unavailable reserve for amount equivalent to the purchase price of the shares to make repurchases. Repurchased shares will used for the execution of repayment programs for the purpose of submission of shares or rights of option over shares, or based on any form in the progress of the share price. The shares to be repurchased will be free of all liens or burden, totally paid and not affected by the compliance of any obligation. Repurchases will be in compliance with article 146.1.a) of Law of Capital Companies. The share repurchase program is valid for 5 years.
